Terms of service
Draft 0.1 · October 28, 2026
DRAFT — pending review by legal counsel. This is not a final or binding text yet. skyseat is at the prototype stage and the company has not been incorporated yet: the details marked like this […] will be filled in once it exists.
1. Who we are and who these terms apply to
These terms govern the use of skyseat, provided by [COMPANY NAME] (tax ID [TAX ID], [REGISTERED ADDRESS]) (“skyseat”), by the business or professional that subscribes to it (“the Customer”) and by the people the Customer authorizes in the dashboard (“users”).
skyseat is a service for businesses and professionals only. By subscribing, the Customer declares that it is acting within its business or professional activity, so consumer protection law does not apply. Whoever accepts on behalf of the Customer declares that they are authorized to bind it.
In addition to these terms, the contract includes: the data processing agreement (with its list of subprocessors), the subscribed plan and the privacy policy.
2. What skyseat is
A platform for having AI employees: artificial intelligence agents that work for the Customer, each with their own computer in the cloud, the accounts and permissions the Customer gives them, a budget and a human in charge who sees what they do, approves what matters and can take control at any time. It includes the dashboard (Inbox, Team, Control room, Activity log, Rules, Tools & accounts, Usage & reports) and, if the Customer turns them on, phone and voice.
3. Early access phase
skyseat is under development. Until the plan states otherwise, the service is provided “as is”, without a service level agreement (SLA), and features may change, be added or be removed. We will give reasonable advance notice of changes that affect how the Customer works.
4. Accounts, people and security
- The Customer decides who can access its dashboard and with which role (Admin, Manager or View only), and is responsible for what its users do.
- Each user keeps their password safe and does not share it. If they suspect unauthorized access, they must change it and let us know.
- If the Customer is an agency that manages its own clients in skyseat, it is responsible to skyseat for them and must have the necessary contracts in place with each one (including the processor or subprocessor agreement).
5. AI employees act on behalf of the Customer
This is the most important part of these terms:
- AI employees act on behalf of and under the responsibility of the Customer, with the accounts, access, rules, budget and level of autonomy the Customer sets up. What they do with those accounts (sending an email, accepting a quote, creating an account, calling someone) is considered done by the Customer towards third parties. skyseat is not a party to those relationships.
- AI can make mistakes: misunderstand an instruction, make up a fact or be tricked by malicious text on a website or in an email (“prompt injection”). The Customer must review what matters, start with cautious autonomy levels and give each employee only the accounts it needs.
- The “Full autonomy” level means the employee does not ask for approval. Choosing it requires accepting its risks in the dashboard and is recorded in the Activity log; the Customer bears the consequences of what the employee does in that mode with the accounts it has.
- At every level, the platform keeps its safeguards: spending caps, plan quotas, human approval of tasks that come in by phone, AI disclosure and the Activity log. They are aids, not a guarantee that there will be no errors.
- skyseat does not provide professional advice (legal, tax, medical, financial…). Anything an AI employee produces in those areas must be reviewed by a qualified person before it is used.
6. Transparency and AI: what the law requires
- Under the European Artificial Intelligence Act (Regulation (EU) 2024/1689, Art. 50), people must know they are talking to an AI when it is not obvious. skyseat’s AI employees say so at the start of every call and identify themselves as AI assistants in their communications. The Customer may not turn off those notices or present an AI employee as if it were a person.
- The Customer will not use skyseat for practices prohibited by Art. 5 of that Regulation (manipulation, exploiting vulnerabilities, social scoring, emotion recognition in the workplace, etc.) nor, without prior written agreement, for the high-risk uses in Annex III (for example, selecting or evaluating staff, deciding on loans or insurance, or access to essential public services).
- Human oversight is part of the product: the Customer appoints the people in charge and undertakes to deal with what the employee sends to its Inbox.
7. Phone and call recording
- If the Customer turns on the phone, every call starts with a notice that an AI assistant is speaking and that the call is recorded. The transcript and summary are kept for 90 days (or less, if the Customer deletes them) and the audio is not kept.
- The Customer is responsible for those calls and their legal basis. For sales calls it must have the recipient’s prior consent (Spanish General Telecommunications Act 11/2022, Art. 66.1.b) and respect the Robinson List (LOPDGDD, Art. 23).
- The phone numbers cannot be used to call emergency services.
8. Acceptable use
The Customer will not use skyseat, or let its AI employees use it, to:
- carry out illegal activities or fraud, impersonate people or companies, or mislead anyone about who is behind a communication;
- send unsolicited commercial communications (LSSI, the Spanish Information Society Services Act, Art. 21) or harass anyone;
- process special categories of data (health, beliefs, biometrics…) or data of minors without prior written agreement with skyseat;
- attack, probe or overload third-party systems or the platform itself, or try to get around its limits and controls;
- breach the terms of the third-party services the employee works on. When a service asks you to prove you are a person (CAPTCHA), the employee hands it to a person at the Customer: no attempt is made to get around it.
9. Third-party services and Customer accounts
AI employees may use third-party services with the Customer’s accounts (email, Google, Microsoft, Notion, Slack, invoicing software…) or create new accounts in its name when the Customer asks for or approves it. Those services are governed by their own terms, which the Customer accepts as the account holder; skyseat is not responsible for them. The Customer can revoke any access from the dashboard at any time.
10. AI models
skyseat uses third-party AI models (currently Claude by Anthropic) and voice services (ElevenLabs). For the paid service, they are used under commercial terms that do not allow those providers to train their models on the Customer’s data. The Customer may use its own API key if its plan allows it; in that case, its own terms with that provider also apply.
11. Pricing, payment and taxes
- The price is that of the subscribed plan (see plans): a monthly or annual fee with a pool of work hours and phone minutes for the whole team, plus any extras the Customer turns on. Prices do not include VAT.
- We notify you when you reach 80% of the pool. At 100%, we do what the Customer has chosen: pause the work or continue with extra hours up to the cap it sets.
- The payment method and dates will be stated when subscribing. [Payment gateway and billing terms once enabled] If a payment is not made, we may suspend the service after giving at least 15 days’ notice.
- We will change prices with 30 days’ notice; the Customer may cancel before they apply.
12. Customer data
- The data and content the Customer puts into skyseat, and what its AI employees produce for it, belong to the Customer. skyseat only uses them to provide the service, in accordance with the data processing agreement.
- The Customer can download a copy of its company’s data at any time (Account › Data & privacy).
13. Intellectual property
The platform, its code, its design and the skyseat brand belong to skyseat or its licensors. The Customer receives a non-exclusive, non-transferable right of use for the duration of the contract. We may use any suggestions the Customer makes to improve the service, without any obligation.
14. Confidentiality
Each party will keep secret the non-public information of the other that it learns through the contract and will only use it to perform the contract, including after it ends.
15. Liability
- skyseat is responsible for providing the service with the diligence of a professional in the sector. It is not liable for acts performed by AI employees following the Customer’s configuration, accounts and instructions, nor for third-party services.
- Except in cases of willful misconduct or gross negligence, skyseat’s total liability under the contract is limited to what the Customer has paid in the 12 months before the event, and does not include lost profits, loss of business or indirect damages.
- The Customer will indemnify skyseat against third-party claims caused by use of the service contrary to these terms or to the law.
16. Term, cancellation and suspension
- The contract lasts as long as the plan (monthly or annual) and renews automatically for equal periods unless canceled before renewal.
- The Customer can cancel from the dashboard. The company and all its data are deleted after 30 days (it can withdraw the cancellation before then); backups disappear within the following 14 days.
- We may immediately suspend an AI employee or the account in case of use contrary to the law or to these terms, or a risk to the security of the platform or of third parties, notifying the Customer.
17. Changes to these terms
If we change them, we will give notice in the dashboard 30 days in advance. If the Customer does not agree, it may cancel before they apply.
18. Governing law and courts
Spanish law applies. For any dispute, the parties submit to the courts of [CITY].
